The purpose of this Agreement is to define the terms and conditions under which the Instructor is engaged to deliver professional training services, including PMP® and other approved programs, under the auspices of Step Up Business School.

The Instructor represents and warrants that he/she:

  • holds a valid PMP® certification and is in good standing
  • is PMI-badged or is undergoing PMI’s Train the Trainer program through the School
  • possesses the professional competence and ethical standing required to deliver high-quality instruction.
  • The Instructor acknowledges that PMI instructor badging is mandatory for facilitating PMP® training.
  • The Instructor agrees to complete PMI’s Train the Trainer program as facilitated by the School.
  • The Instructor must obtain PMI badging within three (3) months of enrolment, failure of which shall automatically disqualify the Instructor from engagement with the School.

The Instructor agrees to pay a non-refundable program registration fee of USD 499 or its Ghana Cedis equivalence to Step Up Business School to initiate onboarding and badging support.

Subject to eligibility and availability, the Instructor may be engaged to:

  • Facilitate PMP® and other approved professional training programs
  • Deliver instruction in line with PMI standards and School curricula
  • Support learner engagement, assessments, and instructional quality
  • Represent Step Up Business School professionally at all times

Where designated as an Exclusive Instructor, the Instructor shall not:

  • Conduct PMP® training independently, or
  • Engage with competing training institutions without prior written consent from the School.

Payment of Annual PMI Membership fee by Step Up Business School

 

Full allegiance to Step Up Business School (Cannot facilitate PMP training for other organizations or organize personal trainings)

Allowed to facilitate trainings for other organizations.

The Instructor agrees to:

  • Uphold PMI’s Code of Ethics and Professional Conduct
  • Act with professionalism, integrity, and respect
  • Avoid conduct that may harm the reputation of the School or PMI

Any act of misconduct, misrepresentation, or criminal behaviour shall constitute grounds for immediate termination.

The Instructor agrees to maintain strict confidentiality over all:

  • Training materials
  • Intellectual property
  • Student data
  • Business information

A breach of the School’s Non-Disclosure Policy will result in immediate termination and possible legal action.

This Agreement shall commence on the Effective Date and remain in force unless terminated.
Either Party may terminate this Agreement with written notice. The School may terminate this Agreement immediately if the Instructor:

  • Loses PMP® certification or PMI badge
  • Joins a competing organization without disclosure
  • Breaches School policies
  • Engages in misconduct or misrepresentation

Instructor status and PMI badge association with the School may be revoked under these conditions

If the Instructor is no longer a part of the school

  • Instructors who by written report or formal communication inform the School that they no longer want to work under them, would be taken off the School’s badged list.

Joining another organization

  • Instructors (Exclusive) who secretly join other organizations or do private trainings without prior communication to the School would be taken off the badged list and lose all benefits they are entitled to.

Misrepresentation

  • Instructors who do not represent the School well and are involved in demeaning or criminal activities will be taken off the badged list. The School reserves the right to determine if an activity constitutes misrepresentation or not.

Breach of Policy

  • Instructors who breach the School’s Non-Disclosure policy will be taken off the badged list. The School reserves sole discretion in determining violations.

The Instructor is engaged as an independent contractor and not as an employee, partner, or agent of the School. Nothing in this Agreement shall be construed as creating an employment relationship.

All training materials, course content, branding, and intellectual property provided by the School remain the exclusive property of Project Management Insdtiture (PMI), USA and Step Up Business School and shall not be reused or reproduced without written authorization.

This Agreement shall be governed and construed in accordance with the laws of Ghana.

This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions or agreements. Any amendments must be made in writing and signed by both Parties.

By filling and submiting the form on this page, the Parties acknowledge that they have read, understood, and agreed to the terms of this Agreement.

Any dispute or misunderstanding arising from this agreement shall be resolved through the following steps:

resolution in good faith; the parties herein shall try to resolve the dispute at the first step through negotiation and good faith.

If the dispute is not resolved through negotiation within 30 days after the initial engagement, the parties agree to submit the dispute to a non-binding-mediation. The mediation shall be conducted by a mutually agreed mediator, or failing agreement, by a mediator appointed by Ghana Arbitration Centre and it shall take place in a neutral ground appointed by the mediator. Each party shall bear its own cost in going to the arbitration location and the mediators’ fees shall be shared equally.

If the dispute is not resolved by mediation within 45 days of the mediator’s engagement, the dispute shall be finally resolved by arbitration by the Ghana Arbitration Centre. The award of the arbitration shall be final and binding on all the parties. The seat of arbitration shall be Ghana and the location of the arbitration shall be chosen by the Ghana Arbitration Centre. The losing party shall bear the cost of the arbitration.
